Layli S. Adelstein

Layli is an attorney with a strong background in real estate law, business management, and transactional matters. She brings practical insight and a business-minded approach to helping clients navigate complex real estate deals, leasing issues, investment structures, and landlord-tenant disputes. Her practice includes advising on real estate acquisitions and dispositions, conducting due diligence, and negotiating lease and financing terms.

Originally trained in international law with aspirations of a diplomatic career, Layli earned her Bachelor of Laws degree with highest honors in Uzbekistan. She completed internships with the Ministry of Foreign Affairs of Uzbekistan and the Embassy of Uzbekistan to the United States in Washington, D.C.

Pursuing her dream of studying law in the United States, Layli relocated to California, where she earned an LL.M. degree from the University of California, Berkeley School of Law.

Before returning to full-time legal practice, Layli spent over a decade managing a successful staffing agency that held multiple contracts with various State of California agencies. She oversaw all aspects of contract administration, compliance, financial operations, and workforce placement. This experience sharpened her skills in negotiation, regulatory compliance, and high-level operational management, the skills she now applies to her legal work.

In addition, Layli has managed a real estate investment portfolio for over two decades and has worked closely with brokers, lenders, contractors, and tax professionals to execute sophisticated real estate transactions and oversee day-to-day operations. Her combined legal and entrepreneurial background enables her to provide detail-oriented counsel across a broad range of matters affecting property owners, investors, and small business clients.

Layli is fluent in English, Russian, and Uzbek languages. She values clear communication, responsiveness, and integrity in client representation.

  • Negotiated and drafted residential lease agreements, including provisions for tenant improvements, rent adjustments, and early termination.
  • Represented landlords in unlawful detainer actions, lease enforcement matters, and settlement negotiations with tenants.
  • Conducted legal due diligence for real estate transactions, including title review, zoning compliance, and risk assessment.
  • Successfully represented small business and real estate investor clients in an IRS audit appeal review, resulting in favorable resolution and reduced tax liability.
